A Cyprus company is a legal person with a calendar of its own. Every year it must file the annual return, keep its entry on the beneficial ownership register current, hold a registered office in the Republic, and make the secretarial filings that record who its officers are and what its shares do. Miss the dates and the charges start on their own, quietly, until a bank search or an audit turns them up.

The pack puts the four with one Nicosia law firm on one renewal date. You get a plain note of what is due and when, the filings made as they fall, and a letterbox watched by lawyers rather than a mailbox checked once a month.

What is in it

The four parts, and what each keeps right

Annual return, Form HE32

Prepared and filed with the Registrar of Companies within 28 days of its reference date, with the shareholder and officer particulars checked against the register before it goes. Late filing carries a charge that grows daily, so the date is diarised and met.

Beneficial ownership confirmation

Your entry on the beneficial ownership register kept by the Registrar confirmed each year, and any change of beneficial owner filed within the fifteen days the law allows, so the register never falls out of step with reality.

Registered office and mail handling

The address at Florinis 7, central Nicosia, held out as your registered office. Mail logged, scanned and emailed the same business day, with anything that looks like proceedings or a statutory notice flagged as such.

Changes of directors and secretary within fourteen days, changes of registered office and of share particulars as they arise, and the reminder that a general meeting must be held with never more than fifteen months between one and the next.

Plus VAT where it applies. The figure is fixed for your company before you commit, and rises towards €1,200 only where the structure or the year's changes are heavier than a standard holding or trading company.

Where it stops

What the pack is, and what it is not

The pack is the company-law compliance held by the Registrar of Companies. It is not the tax return to the Tax Department and it is not the audited financial statements: those are the work of your accountant and auditor, and we coordinate with them rather than hold their work out as ours.

If you only need the address, the registered office and mail handling is €400 a year on its own. If the company is established outside the Union and needs to be addressable there, the Cyprus presence pack adds a process agent and an EU representative instead. This pack is for the Cyprus company that wants its own annual calendar handled from end to end.

What is in the annual compliance pack?

Four things a live Cyprus company needs every year, held together: the annual return, Form HE32, prepared and filed with the Registrar of Companies within its deadline; confirmation of the company's entry on the beneficial ownership register, and filing of any change within the fifteen days the law allows; the registered office at our Nicosia address, with mail scanned to you the same business day; and the routine secretarial filings, changes of officers, of registered office and of share particulars, prepared as they arise.

What does it cost?

From €900 per company per year, plus VAT where it applies, for a straightforward holding or trading company with a stable structure. It rises towards €1,200 where there is more to keep current: several directors and shareholders, changes of beneficial ownership during the year, or share transfers that need filing. We confirm the fixed figure for your company before you commit.

Does this include the tax return and audited accounts?

No, and that distinction matters. The pack covers the company-law compliance kept by the Registrar of Companies: the annual return, the beneficial ownership register and the secretarial filings. The tax return to the Tax Department and the audited financial statements are separate work done by your accountant and auditor. We coordinate with them where useful, but we do not hold that work out as ours.

We already have you as registered office. Can we add the rest?

Yes. The registered office and mail handling on its own is €400 a year; the pack takes that address and adds the annual return, the beneficial ownership confirmation and the secretarial filings on the one renewal date. An existing registered office client moves onto the pack at the next renewal, with nothing to re-sign except the wider engagement.

What happens if a deadline is close when we appoint you?

Say so and we prioritise. The annual return carries an automatic charge that grows the longer it is late, alongside the offence itself, so a return already overdue is dealt with first. After a conflict and client check we confirm in writing within one business day and tell you plainly what is outstanding and what it will take to bring the company current.

Is the annual company levy still payable?

No. The €350 annual levy was abolished by Law 25(I)/2024 with effect from 1 January 2024, by deleting the provision that carried it. Arrears for the years 2011 to 2023 remain due, so a company that never paid the levy in those years can still owe it, and we check that as part of bringing a company current.
